Our practice ranges from the analysis and negotiation of contracts to the execution of significant corporate and financial transactions, always with a focus on value creation and the achievement of our clients’ objectives.

We act in corporate transactions with a focus on M&A and structured acquisitions, having participated in several landmark deals, such as the joint venture among Villares, Safra and GE; the acquisition of CCE (consumer electronics/white goods); the acquisition of Banco Luso; the sale of the leasing operation and the corporate and contractual integration of Banespa and Santander’s activities; the investment by Rabobank and IFC in Banco Sicredi; the sale of Panex; the sale of Ática Scipione to the French group Havas; the sale of T4W to Juniper; and the sale of Shopping Ática to Fnac.

Our team advised Patria on the acquisition of an equity interest in Drogasil; assisted the Danish group ISS Servisystem in several acquisitions; advised on the sale of Cruzília to Aqua Fund; the sale of the HR tech company Medei to LG; and has participated in the negotiation of several convertible debt agreements with startup investors, among other transactions.

Our expertise also extends to the financial sector, which allows us to structure leveraged acquisition transactions (LBOs and MBOs), as well as the structuring of security packages in other M&A deals.
